Terms of Use for the EximGPT System

Pursuant to:

• Law on Electronic Transactions No. 51/2005/QH11 passed by the National Assembly on November 29, 2005
• Decree No. 52/2013/NĐ-CP issued by the Government on May 16, 2013, on e-commerce
• Decree No. 85/2021/NĐ-CP issued by the Government on September 25, 2021

• EximGPT Privacy Policy

Article 1: Definitions, Scope, and Applicable Subjects

EximGPT is an Artificial Intelligence System that supports Import-Export Businesses and Organizations, provided online, accessed and used via a web browser through the Internet in the form of SaaS (Software as a Service), paid based on usage time and computing resources allocated through EximGPT's website with the internet address at eximgpt.com (hereinafter referred to as eximgpt.com).

EximGPT Products are products and/or services, whether paid or free, listed on the Pricing page, hereinafter referred to as EximGPT Products.

Customer is understood as an individual or legal entity using EximGPT Products.

"Provider" is understood as AI EXIMGPT CO., LTD. and is the legal entity managing the eximgpt.com website as well as the developer of the EximGPT solution: International transaction name is AI EXIMGPT CO., LTD. Head office address at 18 K Street, Di An Administrative Center, Di An Ward, Di An City, Binh Duong Province, Vietnam. Tax code 3703252694 managed by the Tax Department of Thu Duc City.

EximGPT Service Provision Agreement (hereinafter referred to as the "Agreement") is understood as the Contract between the Customer and EximGPT, applicable when the Customer uses one or more Products.

Technical Terms:

• Subdomain (Level 2 Domain): Is a domain in the format https://www.google.com/search?q=companyname.eximgpt.com provided by EximGPT to the Customer during the Customer's use of EximGPT Products and is recovered and returned to EximGPT when the customer ceases to use EximGPT Products associated with this domain.
• Private Domain: Is a domain owned by the Customer, linked to EximGPT Products.
• Maximum Storage Space: Is the total maximum capacity in Gigabytes (GB) that the Customer is allowed to use.
• Maximum Accounts: The maximum number of user accounts that can be created in the Customer's EximGPT.
• Transmission Security: Is a form of security by encrypting information using the SSL method.
• Admin Account: Is the account with the highest privileges in the Customer's EximGPT.

Payment Terms:

• Billing Cycle: Is the time cycle calculated in months (03, 06, 12, 24 months).
• Actual Payment Date: Is the first day of a Billing Cycle.
• Theoretical Payment Date: Are the corresponding monthly dates to the first Actual Payment Date.

Using EximGPT means that the Customer agrees to all regulations and terms in this Agreement.

Modification: EximGPT may modify the content of this Agreement at any time. For Customers currently using EximGPT, we are responsible for notifying them of these changes at least fourteen (14) days before the effective date.

Discontinuation of Use: The Customer has the full right to unilaterally terminate and stop using EximGPT if they do not agree with the changes in the Agreement.

Article 2: Method of Service Provision

• The Customer is provided with a subdomain (level 2 domain) to access their EximGPT.
• In case the Customer uses a Private Domain, EximGPT will support technical issues so that the customer can access and use the system.
• The Customer is provided with Storage Space corresponding to the selected EximGPT Product.
• The Customer is provided with an Admin Account with the highest privileges.

Article 3: Rights and Obligations of the Customer

• The Customer has the right to access and fully use the features of EximGPT according to the registered service package.
• The Customer has the right to request technical support and be guided on using the system.
• The Customer has the right to request EximGPT to rectify errors arising during use.
• The Customer is responsible for maintaining the confidentiality of their account information.
• The Customer is responsible for the authenticity of the information and data they provide.

Article 4: Rights and Obligations of EximGPT

• EximGPT has the right to suspend the service in case the customer violates the terms or delays payment.
• EximGPT has the obligation to protect the customer's information and data.
• EximGPT is responsible for maintaining the stability of the system and rectifying incidents as soon as possible.
• EximGPT commits not to disclose customer information to third parties without consent.

Article 5: Data Protection and Privacy

EximGPT commits to:

• Protecting users' personal information
• Complying with data security regulations
• Using data only for the purpose of providing services
• Not sharing data with third parties without permission

Protective measures:

• Data encryption
• Access control
• Regular backups
• Security monitoring

Article 6: Payment and Service Fees

The Customer pays service fees according to the registered cycle.

Payment methods:

• Bank transfer
• Online payment
• Other forms accepted by EximGPT

Payment deadline:

• Before the service expiration date
• As notified by EximGPT

Article 7: Force Majeure

EximGPT is exempt from liability in cases of:

• Natural disasters, epidemics, war
• System incidents beyond control
• Cyberattacks, security breaches
• Other force majeure situations

Article 8: Litigation and Arbitration

• Both parties commit to resolving disputes in a spirit of cooperation.
• In case an agreement cannot be reached, the dispute will be resolved at a competent Court.

Article 9: Effectiveness and Termination

The Agreement is effective from the time the customer starts using the service.

Termination in the following cases:

• At the customer's request
• Violation of terms of use
• Non-payment of service fees
